1. Acceptance of Terms

By accessing or using RMO360 ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. RCS reserves the right to update and change the Terms of Service without notice.

2. Description of Service

RMO360 is an enterprise-grade remote monitoring and control platform that provides:

• Real-time system monitoring and management
• Security compliance and threat detection
• Activity tracking and reporting
• Data encryption and backup services
• Remote control capabilities
• Integration with other security platforms

The Service is provided on a subscription basis and is subject to the terms of your subscription plan.

3. Account Registration

To use certain features of the Service, you must register for an account. When you register:

• You must provide accurate, current, and complete information
• You must maintain and promptly update your account information
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• You must be at least 18 years old or have legal authority to enter into this agreement

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

4. Use License

Subject to your compliance with these Terms, RCS grants you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Service for your internal business purposes
• Install and use the RMO360 agent software on authorized devices
• Access documentation and support materials

This license is limited to the number of users and devices specified in your subscription plan.

5. Restrictions

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Transmit any malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to any part of the Service
• Reverse engineer, decompile, or disassemble the Service
• Remove or alter any proprietary notices
• Use the Service to monitor or control devices without proper authorization
• Resell, distribute, or sublicense the Service without written permission
• Use the Service in a manner that could damage or impair our servers
• Exceed usage limits specified in your subscription plan

6. Payment Terms

6.1 Subscription Fees

• Fees are based on your selected subscription plan
• All fees are non-refundable unless otherwise stated
• Fees are exclusive of taxes, which you are responsible for

6.2 Billing

• Subscription fees are billed in advance on a monthly or annual basis
• Automatic renewal unless cancelled before the renewal date
• We reserve the right to change prices with 30 days notice

6.3 Late Payment

• Late payments may result in service suspension
• Interest may be charged on overdue amounts
• You are responsible for any collection costs

7. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of RCS and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

Any feedback, suggestions, or ideas you provide about the Service may be used by us without any obligation to you.

8. Data Ownership and Privacy

8.1 Your Data

You retain all rights to data you upload or create using the Service. You grant us a limited license to use this data solely to provide the Service to you.

8.2 Data Security

We implement industry-standard security measures to protect your data. However, no method of transmission or storage is 100% secure.

8.3 Data Processing

Our processing of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information and not to use such information except as necessary to perform under these Terms.

Confidential information does not include information that:

• Is or becomes publicly available through no breach by the receiving party
• Was rightfully known by the receiving party prior to disclosure
• Is independently developed without use of confidential information
• Is required to be disclosed by law

10. Warranties and Disclaimers

10.1 Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted or error-free service.

10.2 Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.3 No Guarantee

We do not guarantee that the Service will meet all your requirements or that defects will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RCS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

These limitations apply regardless of the legal theory on which the claim is based.

12. Indemnification

You agree to indemnify, defend, and hold harmless RCS, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws
• Any content you submit or transmit through the Service

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us. Termination does not entitle you to any refunds.

13.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, if:

• You breach these Terms
• You fail to pay fees when due
• We are required to do so by law
• We discontinue the Service

13.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your data after a reasonable period following termination.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Taiwan (Republic of China), without regard to its conflict of law provisions.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Taipei, Taiwan.

You waive any objection to jurisdiction and venue in such courts.

15. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes:

• We will notify you via email or through the Service
• The updated Terms will be effective upon posting
• Your continued use constitutes acceptance of the modified Terms
• If you disagree with the changes, you must stop using the Service

16. General Provisions

16.1 Entire Agreement

These Terms constitute the entire agreement between you and RCS regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.

16.3 Waiver

Our failure to enforce any right or provision shall not be considered a waiver of those rights.

16.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
